Noonlight, Inc. ("Noonlight," "we," or "us") cares about the privacy of the information we collect about you.  This Privacy Policy explains how and when we collect, use, protect, and share your personal information and the rights and choices you can exercise in relation to your personal information.

1. Scope of this Privacy Policy

 This Privacy Policy applies to information we collect about you if you reside in Australia or New Zealand. If you reside in Australia, please review the additional terms below.  If you reside in New Zealand, please review the additional terms below. Please note that your use of this website (the "Website") and the Noonlight services, wherever you reside, is subject to our Website Terms and Conditions.    

Noonlight collects and stores certain information from or about you that can be used to uniquely contact, identify, or locate you ("Personal Information"). We collect Personal Information through your use of (i) the Noonlight Application (the "Noonlight Application"), (ii) any combination of products (such as cameras and sensors) and services (including video verification and alarm dispatch)provided to you through a third-party partner (collectively, the "Services")or, (iii) this website (the "Website").  

Providers and End-Users of the Services
The Services are provided by Noonlight or a third-party partner of Noonlight (referred to as "Authorized Providers"), that independently sell and provide the Services to their customers through Provider Interfaces. "End-Users" include users of the Services provided via an Authorized Provider or directly from Noonlight.  

Noonlight acts as a data processor and collects your Personal Information on behalf of your Authorized Provider when you use the Services provided by the Authorized Provider, such as during an alarm event or verification event. If you are an End-User of an Authorized Provider, you should also refer to your Authorized Provider’s privacy policy for information about their privacy practices as well as any applicable end user terms and conditions regarding the use of the services offered, which may include Noonlight Services.  

Noonlight Application Users and Website Visitors
If you provide Personal Information to us through the Noonlight Application or use the Website (a "Visitor"), then Noonlight processes your Personal Information while acting as a data controller.

2. When We Collect Personal Information

When You Provide Personal Information Directly to Us
When you: (i) use the Noonlight Application; (ii) contact us for support; or (iii) otherwise communicate with us (including by phone or email), you may directly provide us with Personal Information. Please do not provide any health-related information. We are not responsible for the storage and transfer of such information.

When Your Authorized Provider Provides Personal Information Directly to Us
When you are an End-User of the Services, your Authorized Provider may directly provide us with Personal Information about your account in order to provide the Services to you, including your account features, settings, devices, and reporting data.

When Personal Information is Collected Through Your Use of the Website or Noonlight Application
When you use the Website or Noonlight Application, Personal Information may be collected by automated means, such as through cookies and analytics. It may also be created and collected through your use of the Noonlight Application or the Services, such as event history, device usage and saved video clips or images. We receive this Personal Information from your computer, mobile phone or other electronic devices through which you may access, browse, download, receive, or otherwise use the Noonlight Application (each a "Personal Device"). We may also receive and process Personal Information that you provide to Authorized Providers in connection with your use of the Noonlight Application.

3. Types of Personal Information We Collect

When you use the Noonlight Application, the Website or an Authorized Provider’s Services, we may collect the following:

Identifiers
We may collect Personal Information from you or other users on your account including, but not limited to, your name, email address, home or business address, telephone and/or mobile phone number, and other identifying account or user information.  

Account and Device Information
We may collect the following from you or other users on your account:  home or business system configuration, features enabled, service packages, IP addresses, device IDs, account and device settings, modes, automation settings, and device usage and performance. 

Location-based Information in the Noonlight Application
Some features of the Noonlight Application use location information from GPS, IP address and WiFi to determine a physical location.  If you are an End-User and you enable location-based features, we will automatically collect and store location information provided by your Personal Devices. This location information may include your current location or places you have recently visited. When you enable the My Safety feature in the Noonlight Application, Noonlight will collect precise geolocation information from your Personal Device. 

End-User Generated Content
When you choose to upload any content including text or photos, we may record, store, view, process and provide this content to third-party providers (“Vendors”) to provide the Noonlight Services to you. You should not provide any sensitive information in the Noonlight Application, including health information, which is not required to use the Website or the Noonlight Application. 

Video and Audio
When you use the Noonlight Application or Services from an Authorized Provider that is capable of recording video and/or audio (such as a video doorbell or camera), you are enabling: (i) us; (ii) our affiliates, (iii) our third-party providers of central monitoring station services (“Monitoring Agents”), and (iv) Vendors to record, store, view and process video and/or audio and saved recordings from your Personal Devices. This processing may include the review and analysis of videos and recordings, recordings that identify motion and triggers Authorized Provider’s alerts for alarm or other events.
Data protection and privacy laws may impose certain responsibilities on you and your use of cameras and other devices with audio and video recording capabilities. You are responsible for ensuring that you comply with any applicable laws. For example, you may need to display a notice that alerts visitors to your home or business that they may be recorded using cameras and other devices with audio and video recording capabilities. Noonlight and its affiliates take no responsibility for your compliance with these laws. We may also share video and audio recordings with your Authorized Provider if you provide your consent to such sharing. 

Telephone Conversations and Calls
Calls to and from our customer service, Monitoring Agents, emergency responders, and support lines and online chats made to us on the Noonlight Application or the Website may be recorded and monitored, including by our employees, vendors, and artificial intelligence and similar technologies. These solutions may record callers’ voices and conversations, transcribe telephone conversations, use artificial intelligence to identify, authenticate and assist callers, and/or evaluate and make recommendations.  Many of these technology solutions and applications include software and related technology from Vendors, and we may share the data collected during calls and communications with these Vendors.  By using our Services, including telephone and website communications, you accept and consent to our collection of such data (including Personal Information) and to our sharing as described below. SMS MessagingIf an alarm event is triggered by the Services of an Authorized Provider or the Noonlight Application, our Monitoring Agent may contact you via SMS to verify your emergency and dispatch emergency response. If you would like to opt out of receiving SMS messages, you can reply “STOP” or “UNSUBSCRIBE” to the messages you receive.

Other Information Collected via Chatbots
We use chatbots powered by Vendors on our Website to provide you with information and support. When you interact with a chatbot on the Website, all the information you choose to provide to the chatbot may be collected and associated with your name or your IP address and a transcript of your interactions or communications with or through the chatbot may be created and stored. You should not enter any information into the chatbot that you would not want saved, recorded, or monitored. By using or interacting with a chatbot on our Website, you understand that you are communicating with automated self-service software provided by one of our Vendor or communicating with our representative through one of our Vendor; in either case, your communications may be saved, recorded, or monitored by us or our Vendor. We and our Vendors may collect, monitor, record, and manage information (including Personal Information) that you may enter into the chatbot or generate by using or interacting with the chatbot and you consent to such use. We and our Vendor may also collect, monitor, record and manage certain device and usage information automatically, including information collected in connection with the chatbot via cookies and other tracking technologies. Cookies, Web Beacons and Website Analytics
When you use the Noonlight Application or Website using your Personal Device, certain information may be collected by automated means, such as cookies. For more Information about Noonlight’s use of cookies, web beacons and website analytics, please visit our Cookie Settings. You may be able to “opt out” of the collection of information through cookies or other tracking technology by actively managing the settings on your browser or mobile device. Noonlight does not control any cookies or other data collection tools that may be placed on the Services by an Authorized Provider, and this Privacy Policy does not cover the use of such cookies and/or other data collection tools by any Authorized Provider. We encourage you to read the privacy policies of such Authorized Providers to find out more about the information that may be collected by them and the choices you have regarding the collection, use, and sharing of such information.

4. How We Use the Information We Collect

If you are a Visitor or End-User, we may use the Personal Information we collect about you to:

  • Provide the Noonlight Application, Website and Services, which includes contacting End-Users or their designated contacts for an alarm event or verification event;
  • Allow Monitoring Agents to dispatch public safety authorities, or similarly categorized responders (fire, emergency medical services, or law enforcement), to your location and share with them any information that you have provided us;
  • Notify you about changes to the Website or Noonlight Application;
  • Provide you with customer and troubleshooting support related to the Noonlight Application;
  • Personalize your experience with the Website and Noonlight Application;
  • Evaluate your eligibility for, or provide notifications of, products and services offered by us or our affiliates;
  • Protect you, us, or others from security threats by enhancing the security of our network and information systems;
  • Identify and prevent fraud;
  • Enable or administer our business, such as for invoicing Authorized Providers;
  • Improve, evaluate, and develop new and existing products and services of Noonlight and its affiliates (including by aggregating information to understand how our products and Services are being used); and
  • Comply with applicable laws and industry regulations.

5.  Sharing of Personal Information

We will not share your Personal Information with any other entity except:

  • To your Authorized Provider, the company through which you subscribed to the Services;
  • To the Monitoring Agents and subsequent emergency responders to verify the alarms and dispatch emergency response;
  • When you have opted in to share the information, including, but not limited to, upgraded subscriptions in the Noonlight Application to connect certain third-party services or devices;
  • When you have permitted us to communicate with your designated emergency contacts, we will contact them via SMS or phone about an alarm or verification event;
  • When we need to share the information with a Vendor or Monitoring Agent who works on our behalf, provided such entities are subject to confidentiality obligations;
  • To our affiliates for the business purposes described in this Privacy Policy;
  • To evaluate your eligibility for, or provide notifications of, products and services offered by us or our affiliates;
  • When necessary in the case of a merger or combination with, or acquisition of, a portion of our business by another company or entity;
  • As necessary in connection with other lawful business purposes; and
  • As otherwise necessary when required or permitted by law.

6.  Third Party Websites

For your convenience, some hyperlinks may be posted on this Website that link to other websites not under Noonlight’s control. Noonlight is not responsible for, and this Privacy Policy does not apply to, the privacy practices of those sites or of any companies that Noonlight does not own or control. Noonlight does not endorse any of these websites or pages, the services or products described or offered on such sites or pages, or any of the content contained on those sites or pages. Noonlight encourages you to seek out and read the privacy policy of each website that you visit. In addition, should you happen to initiate a transaction on a website linked to this Website, even if you reached that site through the Noonlight User Interfaces, the information that you submit to complete that transaction becomes subject to the privacy practices of the operator of that linked website. You should read that website's privacy policies to understand how Personal Information that is collected about you is used and protected.

7.  Transfer of Personal Information from Outside of the United States

If you use our Website or the Services from outside of the United States, please be aware that your information may be transferred to, stored or processed in the United States, where our servers are located and our central database is operated. The data protection and other laws of the United States and other countries might not be as comprehensive as those in your country. Our offices and data centers are located in the United States, so some of your Personal Information will be transferred to the United States in connection with your use of the Services.

8.  Privacy Policy Changes

We may change this Privacy Policy at any time. Any changes to this Privacy Policy will be posted on our Website or Noonlight Application. The most recent version of this Privacy Policy is reflected by the version date located below. This Privacy Policy is not intended to and does not create any contractual or other legal right in or on behalf of any party.

The following applies to our Australian End-Users and Visitors only and, applies to the extent of any inconsistency with the information above.

We are subject to the operation of the Privacy Act 1988 (Cth) ("Australian Privacy Act") and the Australian Privacy Principles contained within. This Privacy Policy explains how we handle Personal Information relating to individuals who are Australian End-Users, so as to ensure we meet our obligations under the Australian Privacy Act.

In this section, "Personal Information", is defined in the Australian Privacy Act, and means information or an opinion about an identified individual, or an individual who is reasonably identifiable, whether the information or opinion is true or not, or recorded in a material form or not. Personal information includes a person's name, address, contact details, date of birth, gender, sexuality and race. Any reference to us assuming an obligation under the Australian Privacy Act or other Australian privacy legislation can be interpreted as a reference to us also procuring our subcontractors to undertake a reciprocal obligation to the extent relevant.

By electing to acquire our Services, you will be deemed to consent to us using your Personal Information in a manner consistent with this Privacy Policy, including monitoring your use of our Website.

We retain the Personal Information that we collect from you where we have an ongoing legitimate business need to do so (for example, to provide you with the Services you requested or to comply with an applicable legal requirement).

Direct marketing
We will not use or disclose Personal Information for the purposes of direct marketing to you unless:
(a) you have consented to receive direct marketing materials; or
(b) you would reasonably expect us to use your Personal Information for this purpose; or
(c) we believe you may be interested in the material but it is impractical for us to obtain your consent.

In every instance, we will ensure that our direct marketing material incorporates an option for you to elect to receive no further such communications. Please note also that even if you have requested not to receive further direct marketing communications, we may nevertheless continue to provide you with information about changes to our terms and conditions for the supply of goods or services, questionnaires and other factual information. This form of communication is not regarded as "direct marketing" under the Australian Privacy Act.

Overseas Disclosure
Personal information may be sent outside of Australia to our related bodies corporate, as permitted by the Australian Privacy Act, which are located in the United States of America. We take reasonable steps to ensure that the overseas recipients of your Personal Information do not breach our privacy obligations relating to your Personal Information. However, you should note that United States jurisdictions may not offer the same level of statutory privacy protection for Personal Information as Australia does. By providing your Personal Information to us, you consent to our disclosure of your Personal Information to these entities.

In addition, it is possible that we, or our subcontractors, will use cloud technology in connection with the storage of Personal Information, and it is possible that this may result in storage of data outside Australia. It is not practicable for us to specify in advance which country will have jurisdiction over such offshore activities. All of our subcontractors, however, are required to comply with the Australian Privacy Act in relation to the disclosure or storage of Personal Information overseas.

Access, correction and further information
We will take such steps as are reasonable to ensure that the Personal Information which we collect remains accurate, up to date and complete.

You may request access to any Personal Information we hold about you at any time by contacting us (see the details below). Upon such request we will endeavour to provide you with access to your Personal Information held by us unless we are permitted under the Australian Privacy Act to refuse to provide you with such access. Please contact us via the details below if you:

(a) wish to have access to the Personal Information which we hold about you;
(b) consider that the Personal Information which we hold about you is not accurate, complete or up to date; or
(c) require further information on our Personal Information handling practices.

There is no charge for requesting access to your Personal Information, but we may require you to meet our reasonable costs in actually providing you with access.

If you consider that the information which we hold about you is inaccurate, out of date, incomplete, irrelevant or misleading, we will take reasonable steps, consistent with our obligations under the Australian Privacy Act, to correct that information if you so request. We will respond to all requests for access and/or correction within a reasonable time.

Complaints
If you have a complaint about the way in which we have handled any privacy issue, including your request for access or correction of your Personal Information, you should advise us via the below contact details. If you remain unsatisfied with the way in which we have handled a privacy issue, we suggest you approach an independent advisor or contact the Office of the Australian Information Commissioner for guidance on alternative courses of action which may be available. We will provide our full cooperation in the event that you elect to pursue this course of action.

For our New Zealand End-Users only

In addition to the information above, the following applies to our New Zealand End-Users and Visitors only.

We are subject to the operation of the Privacy Act 2020 ("Privacy Act") and other privacy laws and regulations. The Privacy Act sets out 13 Information Privacy Principles (IPPs) which regulate how we can collect, use, disclose and store your Personal Information and how we transfer it outside New Zealand. The IPPs also requires us to allow you to have access to your Personal Information in various circumstances. This Privacy Policy explains how we handle Personal Information relating to individuals, whether or not they are customers, so as to ensure we meet our obligations under the Privacy Act.

In this section, the expression "Personal Information" means information about an identifiable individual.

By electing to acquire our Services, you will be deemed to consent to us using your Personal Information in a manner consistent with this Privacy Policy and our other terms, conditions and policies (as updated or amended from time to time), including monitoring your use of our website.

Unsolicited Electronic Messages
We will not use or disclose Personal Information for the purposes of sending commercial electronic messages to you unless you have consented to receive these kinds of messages from us. In every instance, we will ensure that any commercial message we send you incorporates an option for you to elect not to receive further communications of this type.

Please note also that even if you have requested not to receive further commercial electronic messages, we may nevertheless continue to provide you with information about changes to our terms and conditions for the supply of goods or Services and other factual information. These types of messages are not regarded as "commercial electronic messages" under the Unsolicited Electronic Messages Act 2007.

Offshoring of data
Personal data may be sent outside of New Zealand to our service providers, partners or related bodies corporate, in accordance with the Privacy Act, some of which may be located in the United States of America. You should note that United States jurisdictions may not offer the same level of statutory privacy protection for Personal Information as New Zealand does. However, we will only disclose Personal Information to agencies and entities outside New Zealand (including in the United States) in compliance with applicable laws, including the Privacy Act (see further detail below).

In addition, it is possible that we, or our subcontractors, will utilise cloud technology in connection with the storage of Personal Information, and it is possible that this may result in storage of data outside New Zealand.

To the extent required by law, we will take reasonable steps to ensure that any Personal Information about you that is held outside of New Zealand is held securely and is protected to a standard comparable to the standard of protection that is required in New Zealand.

Access, correction and further information
We will take such steps as are reasonable to ensure that the Personal Information which we collect remains accurate, up to date and complete, and is not collected in a way that is unfair or intrusive, with regard to the nature of the Services provided.

We will provide you with access to your Personal Information held by us unless we are permitted or required by the Privacy Act to refuse to provide you with such access. Please contact us via the details below if you:

(a) wish to have access to the Personal Information which we hold about you;
(b) consider that the Personal Information which we hold about you is not accurate, complete or up to date; or
(c) require further information on our Personal Information handling practices.
